3. Services

Fiscalapi is a software as a service (SaaS) platform that provides a RESTful API to generate, stamp, and manage Comprobantes Fiscales Digitales por Internet (CFDI 4.0) in accordance with current SAT regulations.

Description of the services

The software works as a comprehensive invoicing system through JSON requests, with validity for tax purposes guaranteed by a Proveedor Autorizado de Certificación (PAC), and includes the automatic generation of printed representations (the PDF of a CFDI; the XML is the legal document) with custom branding, logos, and colors. It also provides secure storage and retrieval of invoices in XML and PDF formats; multi-RFC management that allows invoicing between any RFCs from a single tenant (the space in Fiscalapi that holds your issuers, recipients, credits, and data); native support for CFDI complements (complementos, XML extensions the SAT defines for specific operations) such as payments, payroll, and Carta Porte (the CFDI complement that documents the transport of goods in Mexico); automatic checks against the SAT blacklists; automated email delivery of invoices; an administration dashboard; and SDKs and libraries for multiple programming languages.

Scope of the license

A non-exclusive license to use the software is granted, never ownership of the software. The licensee may integrate the API into the Licensee Solution and use it to issue CFDIs in its own name or in the name of the Licensee's Customers, each with its own RFC and Certificado de Sello Digital (CSD). The license has no geographic restrictions and no limits on the number of people who sign in, companies, or issuing RFCs that access the service through that integration.

Permitted uses

The following uses are permitted and do not require additional authorization:

  • SaaS platforms, ERPs, CRMs, points of sale, administrative or accounting systems, custom-built systems, and mobile apps, including multi-company, multi-RFC, or multi-tenant ones, that issue CFDIs in their own name or in the name of their customers.
  • Accounting firms and service providers that issue CFDIs in the name of the taxpayers they serve.
  • Offering the Licensee Solution under the licensee's own brand. Given the nature of an API integration, the licensee is not required to display the Fiscalapi brand in its product.
  • Freely setting the prices that the licensee charges its customers for the Licensee Solution, including the invoicing functionality and stamps (stamp: one credit, used each time you stamp a CFDI).

Integrating the API into the Licensee Solution to invoice in the name of its customers is not considered resale or sublicensing.

Prohibited uses

  • Reselling, sublicensing, renting, assigning, or transferring to third parties access to the Fiscalapi platform as such, including tenants, subscriptions, API keys, credentials, or dashboard access.
  • Offering the Fiscalapi API to other developers or companies as a stamping service of one's own (for example, re-exposing it as an API or acting as a stamping intermediary) without it being part of a Licensee Solution.
  • Using the FISCAL API name, brand, or logos for one's own commercial purposes, or presenting oneself as a distributor, partner, or representative of Fiscalapi.

Distribution, resale, or business partnership arrangements require a specific written agreement. To request one, write to contacto@fiscalapi.com.

Limitations

The license is non-exclusive, non-transferable, and temporary. Its non-exclusive nature allows Fiscalapi to grant similar licenses to other parties. Non-transferable means that the licensee may not transfer, assign, or convey its rights to third parties, with the sole exception of mergers, acquisitions, or corporate restructurings in which the licensee company is acquired by another entity. Its temporary nature is based on a monthly subscription model with automatic recurring billing.

Implementation

Fiscalapi grants the use of the license through a SaaS model that requires no physical installation; implementation is carried out exclusively by integrating the API into the licensee's systems or products. The process begins by signing up for a free 30-day trial, during which there is full access to a development environment at no cost. Technical documentation is available at https://docs.fiscalapi.com, with development libraries (SDKs) for multiple languages and practical code examples available on GitHub. Once the integration is complete in the test environment, the licensee may voluntarily move to the production environment by activating the monthly subscription and purchasing stamps.

Additional services and terms of performance

In addition to the use of the license, Fiscalapi provides personalized technical assistance during integration at no additional cost, with priority technical support during business hours from 8:00 a.m. to 5:00 p.m., automatic and free updates for SAT regulations, and development of CFDI complements when they are not available. The services are performed on a commercially reasonable best efforts basis, without specific response-time commitments or service level agreements (SLAs). Dedicated premium support is a specialized service subject to a separate contract.

4. Costs and form of payment

Monthly subscription

Fiscalapi's pricing model has two components. The first is a fixed monthly subscription, at the current prices published at fiscalapi.com/en/pricing(including IVA, Mexico's value-added tax, VAT), which grants full access to the premium platform. It is charged automatically on a recurring basis and includes API access to generate and stamp CFDI 4.0, free SAT updates, multi-RFC and multi-company features, custom branding and logos, an advanced report designer, invoice storage, an unlimited number of people who sign in, full system management, compatibility with multiple programming languages, personalized assistance during integration, and priority technical support during business hours.

Stamps

The second component is stamps, which are purchased in packages of different volumes at the current prices published at fiscalapi.com/en/pricing, all including IVA and with no expiration date. Each package includes the same number of cancellations as stamps.

Special quotes

Orders of more than 100,000 stamps, or that require special features, are handled through a direct quote from the sales team at contacto@fiscalapi.com or +52 33 5980 0384. There are no hidden costs, no limits on the number of companies, issuers, recipients, or people who sign in, and no mandatory additional services. The model allows full self-service, in which the licensee purchases only what it needs, when it needs it.

5. Term, cancellation, and termination

Term

The license remains in force as long as the monthly subscription payment is kept current, and it is suspended automatically for nonpayment. It is granted for an indefinite term through a subscription model with no minimum commitment period; the contractual relationship runs month to month through recurring monthly billing, with no formal fixed-term contract for most licensees, except where specifically requested, in which case a formal contract with a term of three years may be entered into.

Cancellation

The licensee may cancel the subscription at any time through the platform's dashboard, by calling +52 33 5980 0384, or by emailing contacto@fiscalapi.com. Cancellation does not require prior notice; however, canceling automatically forfeits access to unused stamps, which are absorbed by Fiscalapi. The licensee may create a new subscription later if it so wishes.

Termination

Fiscalapi may terminate the license for nonpayment, use of the API for illegal activities, reverse engineering or misuse of the API, or any of the prohibited uses described in Section 3. The licensee may later reactivate the service by creating a new subscription, and Fiscalapi retains the right to accept or reject the reactivation depending on the circumstances of the previous termination.

6. Prohibitions

By using our service, you agree to comply with the terms and conditions to ensure safe, responsible, and ethical use. The following prohibitions protect the integrity of the platform, the data of the people who sign in, and the rights of third parties:

  • Unlawful or fraudulent purposes: issuing invoices that are false, altered, or that do not reflect the reality of the business transactions is strictly prohibited.
  • Sharing access information: people who sign in must keep their credentials confidential and must not share them with third parties. The platform is not liable for unauthorized use of the tenant.
  • Malicious code or harmful software: introducing, uploading, or running malicious code, viruses, worms, trojans, spyware, or any harmful software is prohibited.
  • Reselling the platform:reselling, sublicensing, or transferring access to the Fiscalapi platform, or marketing the service under the FISCAL API brand, without express written authorization is prohibited, in accordance with the prohibited uses in Section 3. Issuing CFDIs in the name of the Licensee's Customers from the Licensee Solution does not constitute resale.
  • Reverse engineering or unauthorized analysis:reverse engineering, decompiling, or analyzing the platform's software, code, or systems without express written authorization is prohibited.
  • Violating third-party rights: violating intellectual property rights, copyrights, trademarks, trade secrets, or any other third-party rights, including logotypes, imagotypes, isologos, and isotypes, is prohibited.

Any violation may result in the suspension or termination of the service, as well as in any applicable legal action. Fiscalapi reserves the right to take administrative, technical, and legal measures to protect the integrity and security of the platform.

7. Intellectual property

Ownership rights

All intellectual property rights in the software, including, by way of example, the API, interfaces, source code, documentation, SDKs, libraries, methodologies, and the FISCAL API brand, are and remain the exclusive property of FISCAL API S. de R. L. de C. V. The licensee acknowledges that it acquires no ownership rights in the software and obtains only a license to use it under the terms set out in this document and in any specific contracts that may be signed.

Registrations

The software's intellectual property is registered with the Instituto Nacional del Derecho de Autor(INDAUTOR, Mexico's copyright office), and the FISCAL API trademark with the Instituto Mexicano de la Propiedad Industrial (IMPI, Mexico's patent and trademark office). The software incorporates third-party components licensed from DevExpress, whose use is duly authorized and does not affect Fiscalapi's ownership rights over the work as a whole. The licensee agrees to respect all of Fiscalapi's intellectual property rights and not to reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code of the software.

Use of the licensee's name and logo

The licensee grants Fiscalapi the right to use only the licensee's logo and trade name, to display them on its website and other promotional materials as part of its customer portfolio. This use is limited to identification and business reference purposes, does not imply the transfer of any intellectual property right, and does not require express acceptance or notice from Fiscalapi to the licensee.

8. Obligations of the parties

Fiscalapi's obligations

  • Warranties: the software meets the technical specifications described in the official documentation, and the invoices generated remain fully valid for tax purposes before the SAT through the PAC certification process.
  • Technical support: personalized assistance at no additional cost during integration, priority support during business hours from 8:00 a.m. to 5:00 p.m. on business days, and access to up-to-date technical documentation, SDKs, and code examples, on a commercially reasonable best efforts basis.
  • Updates and maintenance: automatic, free implementation of the updates required by the SAT, maintenance of compatibility with current CFDI regulations, and stable operation of the platform. Fiscalapi retains the exclusive right to determine which features, functionality, and CFDI complements are implemented, without committing to support 100% of the available complements.

Licensee's obligations

  • Use of the software: use it only for lawful activities, whether for its own operations or within the Licensee Solution to issue CFDIs in the name of its customers, in accordance with the permitted uses in Section 3.
  • Issuing on behalf of third parties:when issuing CFDIs in the name of the Licensee's Customers, obtain each issuer's authorization to use its RFC and CSD, safeguard those certificates securely, and answer to its customers for the service it provides them. The Licensee's Customers access the service through the Licensee Solution and not through the credentials or API keys of the licensee's tenant in Fiscalapi.
  • Payments: keep all monthly subscription payments and stamp purchases current to retain the service.
  • Credential security:the licensee is solely responsible for keeping its credentials and API keys secure, treating them as application secrets. Any compromise resulting from their improper handling is entirely the licensee's responsibility.
  • Use of the platform: refrain from reverse engineering and from usage patterns that may constitute denial-of-service attacks, with the understanding that Fiscalapi will apply automatic, progressive temporary blocks in response to unusual request volumes considered cyberattacks.
  • Keeping data current: keep its tax information up to date, including its RFC and legal name (as registered with the SAT), to ensure invoices are generated correctly, as the licensee is solely responsible for its accounting, tax, and regulatory obligations.
  • Backup: implement its own data backup strategies, since Fiscalapi stores generated invoices only for a period of five years.
